ENTRADA
THIS DONATION AGREEMENT ("Agreement") is made and entered into as of April 1, 2024 (the "Effective Date") between Valley Presbyterian Hospital, a California nonprofit public benefit corporation ("Donor") and Henderson Heart Foundation, Inc., a Florida corporation ("Recipient").
RECITALS
A.
Donor owns certain supplies/equipment ("Supplies/Equipment") listed on Exhibit
A and incorporated herein.
B.
Donor desires to donate to Recipient, and Recipient desires to acquire from Donor
the Supplies/Equipment on the terms and conditions set forth herein.
THE PARTIES HEREBY AGREE in consideration of the foregoing and following
terms, obligations and conditions, as follows:
DONATION. Donor desires to donate to Recipient, and Recipient desires to
acquire from Donor the Supplies/Equipment, in "as-is" condition. The parties agree that there shall be no compensation by Recipient for the donation of Supplies/Equipment.
EFFECTIVE DATE.
Donor shall grant Recipient possession of the
Supplies/Equipment promptly following the full execution of this Agreement, which execution date is set forth below. Concurrently with delivery of Supplies/Equipment to Recipient, Donor shall execute and deliver to Recipient a Release of Liability Acknowledgement, in the form attached here to as Exhibit B and incorporated herein.
TITLE. Donor hereby covenants and represents to Recipient that Donor is the
lawful owner of Supplies/Equipment, and that Donor has the right to donate the same to Recipient. Donor represents and warrants that Donor has good and marketable title to all of the Supplies/Equipment free and clear of any encumbrances of any nature whatsoever, and good, valid and marketable title to the Supplies/Equipment shall vest in Recipient free and clear of all encumbrances of any nature whatsoever. Donor further warrants and defends the same against the lawful claims and demands of every person.
Este ACUERDO DE DONACIÓN ("Acuerdo") se celebra a partir del 1 de abril de 2024 (la "Fecha de Vigencia") entre el Hospital Valley Presbyterian, una corporación sin fines de lucro de California ("Donante") y la Fundación del Corazón Henderson, Inc., una corporación de Florida ("Receptor").
ANTECEDENTES
A. El Donante es dueño de ciertos suministros/equipos ("Suministros/Equipos") que se enumeran en el Anexo A y que se incorporan aquí.
B. El Donante desea donar al Receptor, y el Receptor desea adquirir del Donante los Suministros/Equipos bajo los términos y condiciones establecidos en este documento.
LAS PARTES ACUERDAN lo siguiente, considerando lo anterior y los siguientes términos, obligaciones y condiciones:
DONACIÓN. El Donante desea donar al Receptor, y el Receptor desea adquirir del Donante los Suministros/Equipos, en su condición actual. Ambas partes acuerdan que no habrá compensación por parte del Receptor por la donación de los Suministros/Equipos.
FECHA DE VIGENCIA. El Donante entregará al Receptor la posesión de los Suministros/Equipos inmediatamente después de que ambas partes firmen este Acuerdo. Al mismo tiempo que se entreguen los Suministros/Equipos al Receptor, el Donante firmará y entregará al Receptor un Reconocimiento de Liberación de Responsabilidad, en la forma adjunta como Anexo B e incorporada aquí.
TÍTULO. El Donante garantiza y asegura al Receptor que es el dueño legítimo de los Suministros/Equipos, y que tiene el derecho de donarlos al Receptor. El Donante asegura y garantiza que tiene un título bueno y comercializable sobre todos los Suministros/Equipos, libre de cualquier carga de cualquier naturaleza, y que el título bueno y válido de los Suministros/Equipos pasará al Receptor libre de todas las cargas de cualquier tipo. El Donante además garantiza y defenderá esto contra las reclamaciones y demandas legales de cualquier persona.
