License

Upon termination of these Terms and Conditions, You shall cease all use of the Website/Services.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of Easy-Peasy.AI and any of its parents, subsidiaries, affiliates, officers, employees, agents, partners, licensees and licensors (if any) under any provision of these Terms and Conditions and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You for the subscription and/or use of the Website and Services.

To the maximum extent permitted by applicable law, under no circumstances shall Easy-Peasy.AI, its team, owners, directors, officers, employees, contractors, affiliates, partners, licensors, agents, or representatives be liable for any direct, indirect, special, incidental, punitive, exemplary or consequential damages of any nature whatsoever, including, but not limited to, loss of data, information, revenue, profit, business opportunities, goodwill, reputation, anticipated savings, use, or other economic advantage; business interruption; personal injury; emotional distress; property damage; system failure; server downtime; cost of substitute services; arising out of or in connection with the use of, inability to use, performance or failure of, errors or omissions in, inaccuracies in, or reliance upon the materials, content, services, functions, or any other aspect of this site or the output generated therefrom, regardless of the cause of action or legal theory asserted (including contract, tort, negligence, strict liability, statutory violation, or otherwise), even if the Easy-Peasy.AI team or an authorized representative has been advised of, knew of, or should have known of the possibility of such damages, and notwithstanding any failure of essential purpose of any limited remedy stated herein.

Severability

These Terms and Conditions, together with the Privacy Policy and any other legal notices published by Easy-Peasy.AI on the Website/Services, shall constitute the entire agreement between You and Easy-Peasy.AI concerning Your use of the Website/Services. If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. Nor shall any single or partial exercise of any right or power under these Terms and Conditions preclude further exercise of that or any other right granted herein. In the event of a conflict between these Terms and Conditions and any applicable purchase or other terms, the terms of these Terms and Conditions shall govern.

Changes to Terms and Conditions

You fully and unreservedly agree and acknowledge that Easy-Peasy.AI has full rights to, at its sole discretion, introduce new terms, remove existing terms, change, modify, revise, update and amend any and all of the clauses and terms within these Terms and Conditions at any time, from time to time, and in accordance with its business needs, legal requirements, commercial aims or any other circumstances whatsoever.

If a revision is material (in accordance with our reasonable discretion), Easy-Peasy.AI will endeavour to provide at least 30 days' notice prior to any new terms taking effect. This notice may be provided through one of various communication channels, including but not limited to: email notifications, prominent announcements on the Website/Services, in-app notifications, pop-up windows, banners on our homepage, or other reasonable methods of communication designed to ensure users receive adequate notification. The absence of notice being communicated to You does not constitute a breach of these Terms and Conditions.

You fully and unreservedly agree and acknowledge that Easy-Peasy.AI bears all rights (including all proprietary rights and all intellectual property rights such as copyright, trademark, patent, trade secrets, designs and the like) over the Website and the Services, including (but not limited to) its entire contents, features and functionality, information, software, data, text, displays, images, video and audio, designs, expressions, and all selections and arrangements thereof. Governing Law

These Terms and Conditions and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Singapore. All Parties expressly and irrevocably submit to the exclusive jurisdiction of the Supreme Court of Singapore and the Subordinate Courts of Singapore over any claim or matter arising under or in connection with these Terms and Conditions or the legal relationships established by these Terms and Conditions.

Notice of Dispute

In the event of a dispute, You or Easy-Peasy.AI must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: [email protected] Easy-Peasy.AI will send any Notice of Dispute to You by mail to Your address if we have it, or otherwise to Your email address. You and Easy-Peasy.AI will attempt to resolve any dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, You or Easy-Peasy.AI may commence arbitration.

Submissions and Privacy

In the event that You submit or post any ideas, feedback, comments, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions (herein referred to as "Suggestions"), You expressly agree that such Suggestions will automatically be treated as non-confidential and non-proprietary and will become the sole property of Easy-Peasy.AI without any compensation or credit to You whatsoever. Easy-Peasy.AI and its affiliates shall have no obligations with respect to such Suggestions and may use the ideas contained in such Suggestions for any purposes in any medium in perpetuity, including, but not limited to, developing, manufacturing, and marketing products and services using such ideas. Typographical Errors

You fully and unreservedly acknowledge and agree that Easy-Peasy.AI shall have the right to refuse, reject or cancel any orders whatsoever regardless of whether:

  • The order has been confirmed;
  • Your payment method has been charged;
  • Order confirmation has been sent; or
  • The error is discovered at any stage of the order fulfillment process.

If Your credit card, debit card, digital wallet, bank account, or any other payment method has already been charged for a purchase that is subsequently refused, rejected or cancelled due to pricing or information errors:

  • We shall immediately initiate a refund to the original payment method used for the transaction;
  • The full amount charged will be refunded without deduction;
  • Refund processing times will be subject to Your financial institution's policies and procedures (typically 3-10 business days); and
  • You will receive electronic confirmation once the refund has been processed.

We are not obligated to honor or fulfill any orders placed based on pricing or information errors, even if You have received an automated order confirmation. The validation of prices and product information occurs during our order review process, which takes place after the initial order submission.

Miscellaneous

Any waiver of any provision of these Terms & Conditions will be effective only if in writing and signed by an authorized representative of Easy-Peasy.AI. Easy-Peasy.AI will be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by You. Easy-Peasy.AI operates and controls the Easy-Peasy.AI Service from its offices in SG. The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the Easy-Peasy.AI Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms & Conditions (which include and incorporate the Easy-Peasy.AI Privacy Policy) contains the entire understanding, and supersedes all prior understandings, between You and Easy-Peasy.AI concerning its subject matter, and cannot be changed or modified by You.
